DISPUTE RESOLUTION
Mediation. Prior to initiating any arbitration or litigation, the parties agree to engage in a mediation session to attempt to resolve any disputes arising out of or relating to this Agreement. The parties shall mutually agree upon a mediator accredited by a recognized mediation institution in California. Each party shall bear its own costs in mediation, and the parties shall share equally the fees of the mediator unless otherwise agreed. The mediation shall take place in Solano County, CA, and shall be conducted confidentially. The use of mediation is a condition precedent to any party initiating arbitration or litigation.
Arbitration. In the event that mediation as hereinabove described fails to resolve the dispute, the parties agree that any and all disputes arising from or related to the terms of this Agreement, including any issues of enforceability or validity of this arbitration provision, shall be resolved by binding arbitration, conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Solano County, CA, by a single arbitrator mutually agreed upon by the parties, or if no agreement can be reached, then by an arbitrator appointed by the American Arbitration Association. The decision of the arbitrator shall be final and binding on the parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each party shall bear its own costs and attorneys' fees, and the parties shall share equally the arbitrator's fees unless the arbitrator decides otherwise as part of the award.
